Statutes of the Association

 

Section 1

 

Legal status of the Association:

1.   The Association is an autonomous business federation acting with independent entity.

2.  The Association is a legal entity. It was founded as a national civil organization on April 21, 1993, on the basis of the 2nd Act of 1989.

3.   Registered office of the Association: H-1119 Budapest, XI., Bártfai utca 5/b.

4.   Signet: Association of Hungarian Automotive Component Manufacturers, Budapest - round rubber stamp.

5.   The Association may become a member of any business federation organization representing its interests.

 

Section 2

 

1. Aim of the Association:

 -       To assure the professional, economical interest reconciliation of its members acting in the fields of automotive part and component manufacturing, automotive industry, and to represent the interest enforcement consequently and regularly, to promote the realistic social, economical and administrative estimation of these branches, moreover to represent its members within the Hungarian industry in the fields of technical development, trade and others of the economy.

-       It reconciles and represents its interests in professional and economic respects.

-       It promotes free undertaking.

-       It initiates, establishes and maintains international economic relations in professional level.

 

2. Authorities of the Association:

It manages the interest representation, interest reconciliation, interest mediatory and contact keeping tasks in its special field in compliance with the following:

2.1        It initiates, co-ordinates and organizes the harmonized intervention in every question that arises in any field in the round of the special field and the enforcement of the entrepreneur's interest.

2.2       Based on the harmonized opinion of its members it takes up a position in connection with the drafts of decisions and normatives involving professional undertakings. It mediates its attitudes towards the economy directing and social organizations.

2.3       It keeps track the practical success of laws concerning professional undertakings, and initiates revision and modification of normatives, provisions rendering the undertakings more difficult at the competent economy directing as well as other interest representing organs.

2.4.      It takes part in the elaboration of economical and undertaking conversion provisions.

2.5.      It elaborates and maintains ethical standards characteristic of the branch, takes care of their observance and comes forward against entrepreneurial behaviour differing from the generally accepted standards. In relation to this it makes run an entrepreneurial professional ethical committee.

2.6.      It promotes co-operation between and among its members and other entrepreneurs.

2.7.      It promotes activity of the members by publishing general conditions, recommendations and guidance concerning the entrepreneurs' professional questions.

2.8.      It builds and maintains informational conciliatory, decision preparation co-operation with all those governmental, social and economic organizations and concerns where it is justified and required by the assert of the members' interests

2.9.      It provides - to the required extent - the employers' business federation. In this activity it co-operates with national and local employers' as well as competent employees' business federal organizations being formed for such a purpose.

2.10.     For the international economic relations:

-      It assists the members to develop their foreign economical relations, contributes to the extension of marketing knowledge by relating professional information, arrangement of professional days, organization and reception of branch delegations,

-      It keeps contact with foreign branch and chamber organizations, with which it assists the establishment and extension of inter-company direct relations within the frame of agreements based on mutuality,

-      In the international alliances and forums it represents the members acting in the special field,

-      It takes part in the work of professional mixed committees.

2.11.     It keeps the members continuously informed about long‑term and topical general economic development purposes, economic policy conceptions.

2.12.    It promotes knowledge and spreading of the professional technical development.

2.13.     It does professional press and propaganda work to assist the work of members acting in the special field.

2.14.     In the settlement of disputed matters between and among the members it manages conciliatory, goodwill tasks upon request.

2.15.     It is not the Association's duty to harmonize the members' activity related to normal management - with especial regard to provisions of the effective competition laws concerning price cartel and abuse of economic superiority. Activity of the Association is based on the members' equal rights.

Ø  Adult and other education

 

Membership of the Association:

1.      According to the legal status, there are three forms of membership:

Regular membership,

Supporting membership and

Associated membership.

2.      Enrolment of the members into the branch Association is voluntary.

3.      Regular member of the Association can be an economic organization (economic association), individual firm, institute, institution acting in the field of any profession, which does the entrepreneurial activity with a domestic seat, accepts the Association's Statutes as mandatory, accepts to pay the membership fee.

4.      Joining the rank of the Association takes place by a written statement addressed to the Association's Presidium, in that the new member states that he accepts the Association's Statutes and the ethical standards of the members' co‑operation and market behaviour as mandatory. Membership begins by the acceptance of the statement by the Association's Presidium.

5.      Members pay an annual membership fee to the bank account of the Association in two instalments before the end of the 1st and the 3rd quarter, respectively, of which extent is approved by the General Assembly on the basis of the Presidium's suggestion.

6.      The member gives a notice of the intention of resignation in written form to the Presidium at least 3 months before the end of the calendar year. The membership comes to the end on the last day of the calendar year.

  

Section 4

 

Duties and rights of the members of the Association 

 

1. Regular members have the right to have representatives, who can:

1.1  attend the meetings of the association

1.2  in case of election should be ready to hold an office

1.3  make proposal reading the convening of the General Assembly and regarding its agenda

1.4  have proposals to the General Assembly or to the Presidium

1.5  have the right to take part in discussing the proposals submitter at the associations meetings, and to take part in making decisions by voting

1.6  take the initative to the recalling of any officals of the association

1.7  making use of the services of the association

1.8  the state of the membership might be indicated in the company’s official papers with heading

 

2. Duties of the regular members of the Association:

2.1.      To assist the aim of the Association and to take part in its work.

2.2.      To comply with the Association's Statutes and the resolutions of the Association meetings, to consider its recommendations.

2.3.      To put information not harming business secret required to the co‑ordinating and safeguarding work at the Association's disposal.

2.4.      To strengthen the spirit of collaboration in its economic work having the interests of other members of the Association in sight.

2.5.      To comply with the ethical standards determined by the Association.

2.6.      To pay the annual membership fee.

 

3.  Associated member - any economic organization or its local agency having individual legal entity. Rights and duties of the associated members of the Association are determined by the agreement between the Association and the associated member.

  

Section 5

 

The Association's organizations:

- General Assembly

- Presidium

 

1. General Assembly:

1.1.       The supreme organization of the Association is the General Assembly that consists of the whole of the Association's members. The General Assembly has to be convened once a year minimum or as circumstances may require. General Assembly for the re‑election of the officials has to be hold once in each fourth year.

1.2.      The members have to receive the invitation for the General Assembly as well as the written agenda before the General Assembly at least 14 days.

1.3.       Valid decisions can be made in questions only which are included in the written agenda of the General Assembly.

1.4.      The followings belong to the exclusive sphere of authority of the General Assembly:

1.4.1.       Approval and modification of the Statutes of the Association.

1.4.2.       Acceptance of the Presidium's annual report and the approval of the next year's schedule, of which parts are report about the economic activity and plan, respectively.

1.4.3.       Election and release of the Association's Presidium, leading functionaries (President, Co‑presidents). The election has to be conducted by secret vote.

1.4.4.       Attitude in questions about which the General Assembly decided in the schedule.

1.4.5.       Any task of which discussion is relegated by the Association's Presidium to the General Assembly.

1.4.6.       Acceptance of federal recommendations and attitudes significantly affecting the economic interests of the members.

1.4.7.       Decision about fusion of the Association with other social organization, ceasing (dissolution) and distribution of the property.

1.5.       In the General Assemly a quorum is if at least half of the members are present. Resolutions of the General Assembly are passed by simple majority. In case of a tie vote the casting vote is given by the Association's President.

If the General Assembly has no quorum, it has to be re‑convened within 15 days for the discussion of the given agenda. Then, independently of the number of those attending, in the General Assembly there is a quorum respecting the original points of the agenda. Written standpoints concerning the agenda have to be considered as valid votes.

1.6.       The General Assembly and the Extraordinary General Assembly are convened by the Presidium and they are presided over by the President or Co‑president.

1.7.      To the convocation of an Extraordinary General Assembly convocation suggestion of at least 10 per cent of the members is required. The Extraordinary General Assembly has to be convened within 30 days reckoned from the arrival of the suggestion to the Presidium.

 

2. The Association's Presidium:

2.1.      Tasks of the Association's Presidium are:

2.1.1       It directs the Association's activity and between two General Assemblies with the exception of stated in 1.4.1 and 1.4.7 it asserts its rights, anticipating the subsequent approval of the General Assembly

2.1.2       It directs and by delegate controls the economy of the professional alliance.

2.1.3       The Association's Presidium asserts employers' rights over the Executive Secretary-general.

2.2.      The Presidium consists of 7 members

2.3.      Delegates of the Association's members can be elected into functionaries of the Association.

2.4.      Members of the Presidium can be substituted by their proxy delegates.

2.5.      Election of the President, Co‑president and members of the Presidium is for three years.

2.6.      The Presidium can set up sections by special branches or regions from the Association's members.

2.7.      Functional rules of the sections are included in their organizational and functional statutes.

2.8.      Resolutions are passed by simple majority. In case of a tie vote the casting vote is given by the President.

Two-thirds majority is needed to the passing of resolutions, under 60 per cent participation of the Presidium to the followings:

-   To the acceptance of suggestions concerning the ethical codex and its modification, and

-   In case of decision concerning delegation and withdrawal of delegation of the Executive Secretary‑general.

 

3. Administration organization of the Association:

3.1.      To conduct the tasks, the Association has its own administration organization (office), directed by the Executive Secretary‑general.

3.2.      Order of business is approved by the Association's Presidium.

3.3.      Scope of activity and duties of the Executive Secretary‑general are defined by the Presidium.

 

Section 6

 

Representation of the Association:

1.      In the presence of third parties the Association is represented in the name of the Association's Presidium by the Association's President or by two Presidium members.

2.      The Association keeps direct contact via the Presidium with the competent highest authorities, organs with national function, social and other organizations.

3.      Among the elected leading officials the President can be a Hungarian citizen only. The officials - with the exception of the Executive Secretary‑general - do their job unpaid. Depending on the management - on the basis of a resolution passed by the General Assembly - they can receive a fee.

 

Section 7

 

Management of the Association:

1.      The Association manages from the membership fees and other incomes according to the regulations concerning the social organizations.

2.      The General Assembly stating the ceasing of the Association decides about distribution of the Association's property

In absence of this the property has to be expended for professional business federation purposes.

 

Section 8

 

Closing provisions:

In questions not regulated in the Statutes of the Association the regulations of the 2nd Act of 1989 are decisive.

The Statutes were accepted by the General Assembly at April 21, 1993, and the Court of Budapest took it into registration of the social organizations by order dated 18 June 1993, under No. 5264.

The General Assembly has amended the Statues on its meeting of May 12, 1999.

APPENDIX

 

RULES OF MEMBERSHIP FEE PAYMENT

 

The membership fee to be paid is based upon 70 percent of the annual net sales revenueof the business.

The rate of the membership fee is established on the basis of membership fee classes resulting from the reduced annual net sales revenue.

Members not having a revenue resulting from productive activities (educational institutions, organizations financed by state budget, alliances, newly formed companies) pay their membership fee according to membership fee class I.
